Terms of Business

Photographer: Bella Keery t/a Served Photography (served-photography.co.uk)

These Terms of Business apply to all clients of Served Photography and govern every booking. Payment of the booking deposit constitutes full and binding acceptance of these Terms of Business.

1. DELIVERABLES & PRODUCTION TIMELINE

1.1 Standard Delivery: Final high-resolution images will be delivered within 30 days from the shoot date via professional file-transfer platform. The Photographer will always aim to deliver images as quickly as possible within this window.

1.2 File Retention: Final high-resolution images will be kept on file for 2 months post-delivery. It is the Client's sole responsibility to download and securely backup all high-resolution assets before this period expires.

1.3 Rush Fees: Expedited post-production turnarounds are subject to the following fees, which must be agreed upon and invoiced prior to the session:

Same-Day Delivery (within 12 hours of shoot completion): £300

Next-Day Delivery (within 24 hours of shoot completion): £150

2. ARTISTIC LICENSE, EDITS & RAW FILES

2.1 Style Consistency: The Client acknowledges that they have hired the Photographer based on their specific documentary, candid, and high-contrast editorial aesthetic.

2.2 Re-Edits: The base package includes two (2) rounds of global aesthetic adjustments (such as overall brightness, exposure, or contrast tweaks). Any subsequent structural re-edits or localised retouching requested by the Client will be billed at a flat rate of £50 per editing set or £10 per image.

2.3 No RAW Files: Under no circumstances will RAW or unedited files be delivered to the Client. RAW files remain the exclusive foundational property of The Photographer.

2.4 Image Integrity: The Client agrees not to alter, apply third-party filters, crop destructively, or re-edit the delivered final JPEG images without the prior written express consent of the Photographer.

3. INTELLECTUAL PROPERTY, USAGE RIGHTS & AI RESTRICTIONS

3.1 Copyright: In accordance with the UK Copyright, Designs and Patents Act 1988, full legal copyright of all images remains permanently with Bella Keery / Served Photography.

3.2 Standard License: Upon full payment of the final invoice, the Client is granted a Standard Commercial License. This permits use across the Client's own channels — including the venue website, official brand social media feeds, and email newsletters — plus paid promotion of the Client's own content on those channels (e.g., boosted posts, Meta or Google Ads driving to the Client's own pages), and internal marketing material such as in-venue signage, menus, and staff training materials.

3.3 Extended Advertising License (External / Large-Scale Placement): Use of images in externally distributed, large-scale advertising — such as billboards, street banners, transit media, national press, or third-party magazine placements — is not covered by the Standard License and requires an Extended Commercial Advertising License, to be negotiated and purchased separately. Baseline pricing begins at £250 per asset per year, varying dynamically based on campaign media reach and brand scale.

3.4 Third-Party Syndication: The Client may not sell, transfer, or license images to third-party partners (such as liquor brands featured in shots, food delivery apps, or corporate sponsors) without a separate syndication agreement and fee negotiated directly with the Photographer.

3.5 AI Training & Scraping Prohibited: The Client explicitly agrees not to use, submit, or process any images delivered by Served Photography to train artificial intelligence algorithms, generative models, machine learning systems, or image-to-image synthesis platforms.

4. LOGISTICS, TRANSPORT & ADVERSE CONDITIONS

4.1 Venue Access: The Client is responsible for securing all necessary venue permissions, location scouting access, or parking arrangements required for the shoot.

4.2 Transport & Accommodation: Reasonable transport costs will be charged at the Photographer's discretion, based on factors including the equipment required, the location of the shoot, timing, and weather conditions. Where overnight accommodation is required due to the location of the shoot, this may be charged to the Client, but will always be discussed and approved with the Client in advance of the event.

5. CANCELLATION, RESCHEDULING & PAYMENT BALANCES

5.1 Booking Deposit: To officially secure the requested date in the Photographer's calendar, a non-refundable booking deposit/retainer is required. This fee is calculated as 33% of the total package value for 2-hour sessions, and 50% of the total package value for 4-hour (half-day) and 8-hour (full-day) sessions, per the current pricing set out in Schedule A. No dates are held or guaranteed until this deposit is paid.

5.2 Final Invoice & Balance: The final invoice will be issued after the shoot. The remaining balance must be paid in full before final high-resolution galleries are released; final high-resolution images will be delivered upon receipt of payment of the final invoice.

5.3 Rescheduling (More than 7 Days Notice): Clients may request to reschedule the shoot up to 7 days before the event without penalty. The new date must be scheduled within 60 days of the original date, subject to the Photographer's availability.

5.4 Rescheduling (Within 7 Days Notice): Requests to reschedule made within 7 days of the shoot will incur a flat £100 rescheduling fee to cover the loss of the original calendar slot.

5.5 Rescheduling / Cancellation (Less than 48 Hours Notice): If a client cancels or requests to reschedule less than 48 hours before the shoot, the original booking deposit is completely forfeited. To book a new date, a brand-new booking deposit will be required.

6. HARASSMENT & SAFE WORKING ENVIRONMENT

6.1 Safe Environment: The Client is responsible for ensuring a safe, professional, and respectful working environment for the Photographer.

6.2 Zero Tolerance: Served Photography maintains a zero-tolerance policy for harassment, discrimination, or abusive behaviour (verbal or physical) from the Client, venue staff, guests, or event attendees.

6.3 Right to Terminate: If the Photographer feels unsafe or experiences harassment, they reserve the right to immediately terminate the session and leave the premises. The Client will remain liable for 100% of the contract total, and no refunds will be issued for uncompleted coverage.

7. ARTIFACT SHOT COUNT & COVERAGE LIMITATIONS

7.1 Delivery Variance: Due to the live, unpredictable nature of events and hospitality environments, Served Photography does not guarantee a specific, exact number of final delivered images.

7.2 Exclusion of Control: The Photographer is not responsible for missing specific key moments or individuals due to venue scheduling delays, guest interference, restricted venue access, poor venue lighting conditions, or uncooperative subjects.

8. INDEMNIFICATION & LIABILITY LIMITS

8.1 Limitation of Liability: In the highly unlikely event of total equipment failure, severe illness, or data corruption where Served Photography cannot deliver the images, the Photographer's liability is strictly limited to a full refund of all monies paid by the Client.

8.2 No Consequential Damages: The Photographer cannot be held financially responsible for any secondary losses, lost venue bookings, missed marketing campaigns, or consequential damages incurred by the Client.

9. PUBLIC LIABILITY & PROP DAMAGE (VENUE LIABILITY)

9.1 Venue/Equipment Damage: The Client assumes full financial liability for any damage caused to the Photographer's equipment, lenses, or lighting setups by venue staff, kitchen hazards (e.g., hot grease, spilled liquids), or event guests.

10. PRODUCTION DELAYS & OVERTIME

10.1 Production Delays: The shoot schedule may be affected by factors outside the Photographer's control, such as delays in venue setup, staffing, or preparation by the Client's team or suppliers. The Photographer is not liable for reduced shot counts or missed deliverables resulting from such delays.

10.2 Overtime Trigger: If delays caused by the Client, venue, or third-party suppliers cause the shoot to overrun the contracted duration by more than 15 minutes, an automatic overtime rate will apply. Overtime is billed at a flat rate of £175 per hour (invoiced in 30-minute increments). The Photographer reserves the right to decline extending the session past the contracted time.

11. PR, INFLUENCER, AND SUPPLIER EMBARGOS

11.1 Launch Deadlines: If the images are intended for an unannounced venue launch, secret menu refresh, or exclusive PR feature, the Client must provide the Photographer with the official launch or embargo date in writing.

11.2 Social Sharing Restriction: Served Photography agrees to withhold public posting or marketing display of the assets until the embargo date has passed.

12. APPLICABLE LAW & JURISDICTION

12.1 Governing Law: This agreement is governed exclusively by the laws of England and Wales. Both parties agree that any disputes that cannot be resolved amicably will be handled strictly within the courts of England and Wales.
